Welcome to basa. These Terms of Service (the "Terms") are a binding agreement between you and Play Basa Inc., a Delaware corporation ("Basa," "we," "us," or "our"), and govern your use of playbasa.com and any related sites, content, products, services, leagues, tournaments, and events we offer (collectively, the "Services").
By accessing the Services or placing an order, you agree to these Terms and our Privacy Policy. If you don't agree, please don't use the Services.
Please read Section 17 carefully. It contains an arbitration agreement and a class action waiver that affect your legal rights.
You must be at least the age of majority in your state, province, or country of residence to enter into these Terms or use the Services. If you are under the age of majority, you may only use the Services with the involvement and consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf. We may refuse service to anyone at any time, at our sole discretion.
You don't need an account to browse the Site, but you may need one to place certain orders, register for events, or join programs. If you create an account, you agree to:
We may suspend or terminate your account if we believe you've violated these Terms or used the Services in a way that could harm us, our customers, or others.
All orders placed through the Site are offers to buy, which we may accept or decline. We reserve the right to limit quantities, refuse or cancel any order, and discontinue products at any time. If we cancel an order after payment, we'll refund the amount you paid.
Prices, product descriptions, and availability are subject to change without notice. We try to keep all information on the Site accurate, but we don't warrant that product descriptions, pricing, or other content is error-free. If we discover an error in a price or description after you've placed an order, we may cancel the order and refund you. Product colors on your screen may not match the actual product exactly due to display differences.
You agree to pay all charges incurred by you or anyone using your account, including applicable taxes and shipping fees, at the prices in effect when the charges are incurred. Payment is processed through our payment partners (including Shopify Payments), and you authorize us and our processors to charge your selected payment method.
From time to time we offer products on a pre-order basis before they are available to ship. When you pre-order a product:
Shipping options, rates, and delivery estimates are displayed at checkout. Risk of loss and title for products pass to you upon our delivery of the products to the carrier. Carrier delays, customs holds, and lost or damaged packages are subject to the policies of the carrier; we'll work with you in good faith to resolve issues, but we are not liable for delays outside our control.
You are responsible for providing an accurate shipping address. If a package is returned to us because of an incorrect address or refused delivery, you may be responsible for re-shipment costs.
International orders may be subject to import duties, taxes, and customs fees imposed by your country of destination. These charges are your responsibility.
Our return and refund procedures are described in our Return Policy and on the product page or order confirmation. Unless otherwise stated, products must be returned within the stated return window in new, unused condition with original packaging. Certain items (such as personalized, promotional, or sale items) may be non-returnable.
To start a return, contact info@playbasa.com with your order number. We'll provide return instructions. Refunds are issued to the original payment method after we receive and inspect the returned product.
We may offer promotional codes, ambassador discount codes, referral rewards, and other promotions from time to time. Each promotion is subject to its own terms, which we'll post or share when the promotion is offered. Promotions may be limited to one per customer or order, cannot be combined unless we say so, have no cash value, are non-transferable, and may be modified or terminated at our discretion. We reserve the right to disqualify orders that we reasonably believe were placed using fraudulent or abusive promotional activity.
basa is a physical paddle sport. Playing basa — like any sport — involves risk of injury, including from running, jumping, contact with the net, paddles, the ball, other players, the playing surface, or surrounding objects. By purchasing or using basa products, you acknowledge and voluntarily assume all risks associated with use of the products and participation in basa play, on behalf of yourself and any minors for whom you supervise play. To the fullest extent permitted by law, you release Basa from claims arising out of injuries sustained in connection with normal use of the products.
We host, sanction, and partner on tournaments, leagues, clinics, and other events. Each event is subject to its own rules, eligibility requirements, entry fees, refund policy, and waivers, which we'll post or provide at registration. By registering for an event, you agree to the event-specific terms and to follow the directions of event staff and venue operators. We may refuse entry or remove participants whose conduct is unsafe, abusive, or in violation of event rules.
The Services, including all text, graphics, logos, images, videos, software, designs, and other content (the "Basa Content"), are owned by or licensed to Basa and are protected by copyright, trademark, trade dress, and other intellectual property laws. basa™, the basa wordmark, the basa "b" mark, the orange color treatment, and the design of our net, paddle, and packaging are trademarks or trade dress of Play Basa Inc.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes. You may not:
The Services may let you submit reviews, comments, photos, videos, social posts using our hashtags, or other content ("User Content"). You retain ownership of your User Content, but you grant Basa a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, host, store, reproduce, modify, create derivative works of, publish, publicly display, publicly perform, and distribute your User Content in any media and for any purpose, including marketing and promotion of Basa and the Services. Where reasonably practicable, we'll credit you. You waive any moral rights to the extent permitted by law.
You represent and warrant that: (a) you own or have the necessary rights to your User Content and to grant this license; (b) your User Content does not infringe any third-party rights or violate any law; and (c) any individuals depicted have consented to the use you've authorized.
We are not obligated to monitor User Content, but we may remove, edit, or refuse to publish any User Content at our discretion.
You agree not to:
The Services may contain links to or be integrated with third-party websites, applications, or services (for example, our checkout is powered by Shopify, our marketing emails are sent through Klaviyo, and we may link to social platforms). We are not responsible for third-party content or services and do not endorse them. Your use of any third-party service is governed by that party's terms and privacy policy.
The Services and the products are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, Basa disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, secure, error-free, or that defects will be corrected. Any product warranty we provide (if any) is set out in the documentation accompanying the product or on our website.
To the maximum extent permitted by law, in no event shall Basa, its officers, directors, employees, founders, affiliates, suppliers, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to these Terms, the Services, or the products, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if Basa has been advised of the possibility of such damages.
To the maximum extent permitted by law, Basa's aggregate liability arising out of or relating to these Terms, the Services, or the products will not exceed the greater of (a) the amount you paid to Basa in the twelve (12) months immediately preceding the event giving rise to the claim, and (b) one hundred U.S. dollars ($100).
Some jurisdictions don't allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In those jurisdictions, our liability is limited to the greatest extent permitted by law.
You agree to defend, indemnify, and hold harmless Basa and its officers, directors, employees, founders, affiliates, suppliers, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services or products; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you'll cooperate with us as we reasonably request.
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
Informal resolution. Before filing a claim, you agree to try to resolve the dispute informally by emailing us at info@playbasa.com with a description of the dispute and the relief you're seeking. We'll attempt to resolve the dispute in good faith within sixty (60) days.
Binding arbitration. If we can't resolve the dispute informally, you and Basa agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the products (a "Dispute") will be resolved by binding individual arbitration administered by JAMS under its applicable rules, except that either party may bring an individual action in small-claims court. The arbitration will be conducted in English, in Wilmington, Delaware (or remotely, where the rules permit), by a single arbitrator. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class action waiver. You and Basa agree that each may bring claims against the other only on an individual basis, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class action waiver is held unenforceable, then the entire arbitration agreement in this Section 17 will be null and void, but the rest of these Terms will remain in effect.
30-day opt-out. You may opt out of the arbitration agreement and class action waiver in this Section 17 by emailing info@playbasa.com within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and including your full name, mailing address, and the email address used for your account or order. Opting out won't affect any other provision of these Terms.
Carve-outs. Nothing in this Section 17 prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights.
These Terms and any Dispute are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to Section 17, any action that is not subject to arbitration must be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
We may update these Terms from time to time. When we do, we'll change the "Last updated" date at the top of this page. If the changes are material, we'll provide additional notice (such as by email or a notice on the Site). Your continued use of the Services after the changes take effect means you accept the updated Terms. If you don't agree, your only remedy is to stop using the Services.
You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you've violated these Terms or that your conduct could harm Basa, other users, or third parties. Sections that by their nature should survive termination — including, without limitation, Sections 10 (Intellectual Property), 11 (User Content), 14 (Disclaimer of Warranties), 15 (Limitation of Liability), 16 (Indemnification), 17 (Dispute Resolution), 18 (Governing Law), and 21 (General) — will survive.
